Merchant Agreement

1. Definitions

The following terms have the meanings set out below throughout this Agreement:

• "Merchant" means a restaurant, food business, or other establishment that creates an account, claims a Business Listing, or uses MealRadar's services in any capacity.
• "Offer" means a promotion, discount, special pricing, incentive, event, reward, coupon, or other listing displayed through MealRadar, whether created by the Merchant or generated by MealRadar using publicly available information.
• "Business Listing" means a profile page representing a Merchant's restaurant or establishment on MealRadar, including its name, address, description, hours, photos, and associated Offers.
• "Sponsored Listing" means a Business Listing or Offer that receives paid placement, enhanced visibility, or priority positioning within MealRadar search results or feeds.
• "Subscription Services" means the monthly or recurring paid plans offered by MealRadar that provide access to Premium Services and enhanced platform features.
• "Premium Services" means the advanced features available to Merchants on paid subscription tiers, including advanced analytics, featured placement, sponsored visibility, enhanced profile controls, and additional AI tools.
• "Customer Data" means aggregated and anonymized data about user interactions with a Merchant's Business Listing or Offers, as provided through MealRadar's analytics features.
• "Merchant Content" means all text, images, logos, photos, descriptions, and other materials submitted by a Merchant to MealRadar.

2. Merchant Accounts

To access Merchant features, you must create a MealRadar merchant account. By creating an account, you agree to the following:

Accurate Information

You must provide accurate, current, and complete information about your business. You are responsible for keeping this information up to date. Providing false or misleading information may result in account suspension or termination.

Account Security

You are responsible for maintaining the security and confidentiality of your account credentials. You must not share your login with third parties. You are responsible for all activity that occurs under your account. Notify us immediately at legal@mealradar.app if you suspect unauthorized access.

Account Ownership

Your merchant account is personal to your business. Accounts may not be transferred, sold, or assigned to another entity without MealRadar's prior written consent.

Profile Claiming

MealRadar may create Business Listings for restaurants using publicly available information before a Merchant claims ownership. You may claim your Business Listing by verifying your ownership through the merchant portal. Once claimed, you may edit and manage your listing subject to MealRadar's content guidelines.

3. Business Listings

MealRadar may create and display Business Listings for restaurants using publicly available information, including but not limited to:

• Restaurant websites and menus
• Social media profiles and posts
• Online advertisements and promotional materials
• Public directories and review platforms
• Information you submit directly to MealRadar

MealRadar reserves the right to modify, suspend, or remove any Business Listing at any time, including Offers generated from third-party sources, where we determine content is inaccurate, inappropriate, or in violation of this Agreement or applicable law.

MealRadar does not guarantee the accuracy of auto-generated listings and encourages Merchants to claim and verify their profile.

4. Offers and Promotions

Merchants may create and publish Offers through MealRadar to promote their business. MealRadar may also generate Offers based on publicly available information.

Merchant Responsibility for Offers

For any Offer you create or approve, you are solely responsible for:

• The accuracy of the Offer description, pricing, and conditions.
• The availability of the Offer at the time of customer redemption.
• Clearly communicating any limitations, exclusions, or expiry dates.
• Honouring valid Offers presented by customers.
• The overall customer experience resulting from the Offer.

Modifications and Cancellations

You may modify or cancel your Offers at any time through your merchant dashboard. We recommend providing reasonable notice to customers where possible. MealRadar will make reasonable efforts to update listings promptly but cannot guarantee immediate removal from all surfaces.

No Guarantee of Performance

5. Subscription Services and Billing

Free Tier

MealRadar offers a Free Tier that includes a basic Business Listing, limited profile edits, and access to basic analytics. The Free Tier is provided at no cost and may be modified or discontinued at any time with reasonable notice.

Premium Tier

Merchants may subscribe to Premium Services, which may include:

• Advanced analytics and performance reporting
• Featured placement in search results and deal feeds
• Sponsored Listings and boosted visibility
• Cost-per-click (CPC) advertising options
• Enhanced profile controls and customization
• Additional AI-powered promotional tools

Specific features available at each tier will be described at the time of purchase and may evolve over time. MealRadar will provide reasonable notice of material changes to paid tiers.

Billing and Renewals

Subscription Services are billed on a monthly basis unless otherwise stated. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize MealRadar to charge your payment method on a recurring basis.

Sponsored Listings and CPC Advertising

Sponsored Listings and CPC advertising charges are calculated based on actual placement, clicks, or impressions as tracked by MealRadar. Metrics used for billing are determined by MealRadar's systems and are considered final absent clear technical error.

Cancellation

You may cancel your subscription at any time through your merchant account settings or by contacting legal@mealradar.app. Cancellation takes effect at the end of the current billing period. Your Business Listing will remain on MealRadar after cancellation; Premium Services will no longer be available.

Refunds

Previously paid subscription fees are generally non-refundable unless required by applicable law. If you believe a billing error has occurred, contact us within 30 days of the charge at legal@mealradar.app and we will investigate promptly.

6. AI Features

MealRadar uses artificial intelligence throughout the platform to benefit both Merchants and users. These AI systems may be used to:

• Automatically categorize and tag your Offers and Business Listing.
• Recommend your restaurant to nearby users based on their preferences.
• Summarize menu items, deals, and restaurant descriptions.
• Improve search relevance and deal discovery for users in your area.
• Generate or refine Offer descriptions from publicly available information.
• Surface your business in personalized recommendation feeds.

We continuously work to improve AI accuracy and welcome Merchant corrections through the merchant portal or by contacting us directly.

7. Analytics and Performance Metrics

Depending on your subscription tier, MealRadar may provide access to analytics and performance data for your Business Listing and Offers. Available metrics may include:

• Impressions (how often your listing appeared in search or feeds)
• Clicks and profile views
• Offer views and saves
• User engagement signals
• Estimated redemptions

MealRadar does not guarantee that analytics data will be available at all times and is not liable for decisions made based on analytics information.

8. Intellectual Property

Your Content

You retain ownership of all Merchant Content you submit to MealRadar, including your logos, business name, photos, and promotional materials.

By submitting Merchant Content, you grant MealRadar a limited, non-exclusive, royalty-free license during the term of this Agreement to use, display, reproduce, and distribute your Merchant Content solely for the purpose of operating and promoting MealRadar's services — including displaying your Business Listing, Offers, and branding to users. This license ends when you remove the content or terminate your account.

MealRadar's Content

All MealRadar platform content, software, design, branding, and technology are owned by MealRadar or its licensors. Nothing in this Agreement grants you any rights in MealRadar's intellectual property beyond the limited right to use the platform as described herein.

Publicly Available Content

MealRadar may use publicly available information about your business — such as images from your website, social media, or advertising — to create or enhance your Business Listing. If you believe any such content has been used incorrectly or without appropriate rights, please contact legal@mealradar.app and we will address your concern promptly.

9. Merchant Responsibility

MealRadar is a marketing and discovery platform. Merchants remain solely and fully responsible for all aspects of their restaurant operations, including:

• Food quality and safety — preparation, handling, storage, and service of all food and beverages.
• Pricing — the accuracy and legality of all prices displayed in Offers and on your Business Listing.
• Taxes — collecting and remitting all applicable sales taxes, HST, or other government-mandated fees.
• Customer service — all interactions with customers, including complaints, refunds, and dispute resolution.
• Alcohol compliance — obtaining and maintaining all required liquor licences and complying with applicable alcohol laws and regulations.
• Health and safety regulations — complying with all applicable municipal, provincial, and federal health codes, inspection requirements, and food handling regulations.
• Legal compliance — operating in accordance with all applicable laws, including consumer protection, employment, and advertising standards.

10. Privacy and Data

MealRadar collects and processes data in connection with your use of the platform. By using MealRadar's merchant services, you acknowledge and agree to the following:

• MealRadar may collect data about your Business Listing, Offers, and platform activity for the purpose of operating, improving, and promoting the platform.
• Customer Data provided through analytics features is aggregated and anonymized. MealRadar does not share individually identifiable customer information with Merchants.
• You must comply with all applicable privacy laws — including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial legislation — in connection with any customer information you collect through your business operations.
• You may not use MealRadar's platform to collect personal information from users without their consent.

11. Limitation of Liability

To the fullest extent permitted by applicable law, MealRadar and its officers, directors, employees, and agents will not be liable to any Merchant for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Lost revenue, profits, or business opportunities.
• Costs arising from inaccurate or outdated Business Listings or Offers.
• Service interruptions or downtime.
• Outcomes from AI-generated content or recommendations.
• Disputes between you and customers or third parties.

MealRadar's total aggregate liability to any Merchant for any claims arising from or related to this Agreement shall not exceed the greater of (a) the total fees paid by the Merchant to MealRadar in the three months preceding the claim, or (b) CAD $500.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, MealRadar's liability is limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless MealRadar and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of MealRadar's platform or services.
• Any Offer you create or publish through MealRadar.
• Merchant Content you submit, including any claim that it infringes a third party's rights.
• Your restaurant operations, including food quality, customer service, and regulatory compliance.
• Your violation of this Agreement or any applicable law.

13. Termination

Termination by You

You may cancel your merchant account or subscription at any time by accessing your account settings or contacting legal@mealradar.app. Cancellation takes effect at the end of your current billing period where applicable. Your Business Listing may remain on MealRadar after account cancellation; contact us if you wish to request full removal.

Termination by MealRadar

MealRadar may suspend or terminate your merchant account or access to any part of the platform at any time, with or without cause, with reasonable notice where practicable. Grounds for termination may include, but are not limited to:

• Violation of this Agreement or MealRadar's policies.
• Fraudulent, deceptive, or abusive conduct.
• Non-payment of fees.
• Legal or regulatory requirements.

Effect of Termination

Upon termination, your right to use MealRadar's merchant tools and Premium Services ceases immediately. Provisions of this Agreement that by their nature should survive termination — including intellectual property rights, indemnification, limitation of liability, and governing law — will remain in effect.

14. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
